**Terms and Conditions for Celeri Opera - Website Design Services**


1. Acceptance of Terms

By subscribing to our services, submitting payment, or otherwise engaging with Celeri Opera (“Service Provider,” “we,” “our,” or “us”), you (“Client,” “you,” or “your”) acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions (“Agreement”), including all future modifications, supplemental policies, and referenced documents.

This Agreement governs all services provided by Celeri Opera, including but not limited to the design, development, hosting, management, and maintenance of websites, as well as any related digital services offered under our monthly subscription plans.

If you do not agree with any portion of these Terms, you must not subscribe, use, or access our services in any way. Your continued use of our services constitutes ongoing acceptance of these Terms and any subsequent updates.

1.1 Contract Formation

By confirming payment, completing an order, or approving a website project, you enter into a legally binding agreement with Celeri Opera. This Agreement is effective as of the date payment is received and shall remain in effect until terminated by either party in accordance with these Terms.

If you are entering this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you lack such authority, you must not proceed with the purchase or use of our services.

1.2 Acknowledgment of Service Nature

You understand and agree that Celeri Opera provides ongoing website management services under a subscription-based model, currently billed at $129.99 per month, and that a nonrefundable $16 startup fee is required to cover domain registration and setup costs.

By subscribing, you acknowledge that:

  • The subscription automatically renews monthly until canceled.

  • Payments are billed in advance and are nonrefundable once services or domain registration have commenced.

  • You are purchasing an ongoing service, not a one-time product.

  • The Service Provider maintains the website and domain on your behalf for the duration of your active subscription.

1.3 Acceptance of Digital Communications

You consent to receive electronic communications (emails, invoices, and notifications) from Celeri Opera. These communications satisfy any legal requirements that such communications be in writing.

1.4 Agreement to Revisions and Updates

We may update or revise these Terms at any time. All modifications will be effective immediately upon posting on our website or being sent to you via email. Continued use of our services after such updates constitutes your full acceptance of the revised Terms.

If you do not agree to updated Terms, you must provide written notice of termination and discontinue use of our services before the next billing cycle.

1.5 Legal Enforceability

You agree that by proceeding with payment or service activation, you are electronically signing and accepting a legally binding contract enforceable under the laws of the State of Texas, regardless of your physical location.

You also agree that any disputes, claims, or disagreements arising from this Agreement will be governed exclusively by Texas law and resolved within Harris County, Texas jurisdiction.

1.6 Representations and Warranties

By accepting these Terms, you represent and warrant that:

  • You are at least 18 years of age or have the legal capacity to enter a binding contract.

  • You will provide accurate, complete, and current information as requested by the Service Provider.

  • You will comply with all applicable laws, regulations, and third-party rights when using your website or our services.

  • You will not use our services for unlawful, deceptive, or harmful purposes.

1.7 Scope of Agreement

These Terms and Conditions constitute the entire agreement between you and Celeri Opera and supersede any prior written, verbal, or implied agreements regarding the subject matter herein. No statements, emails, or representations outside of this document shall be considered legally binding unless expressly stated in writing and signed by both parties.

1.8 Client Responsibility for Review

It is your sole responsibility to review these Terms periodically to stay informed of any updates. Celeri Opera is not responsible for your failure to read or understand these Terms prior to payment or continued service usage.

1.9 Consent at Checkout

By completing checkout, submitting payment, or engaging our services in any form, you expressly agree to the following statement:

“By confirming my payment, I acknowledge that I have read, understood, and agreed to the Terms and Conditions of Celeri Opera, including policies regarding billing, cancellations, refunds, and service limitations.”

2. Payment Terms & Refund Policy

2.1 Payment Authorization

By subscribing to any service offered by Celeri Opera, you authorize Celeri Opera to charge the payment method you provide for all applicable fees, including the $129.99 monthly subscription and the nonrefundable $16 startup fee required for domain registration and initial setup.

You acknowledge that all payments are processed through secure third-party payment processors, and you consent to their terms and conditions. You further authorize Celeri Opera to store and continue billing your payment method for recurring monthly charges until your subscription is canceled in accordance with these Terms.

2.2 Subscription Billing Cycle

All subscription fees are billed in advance, on the same date each month as your initial purchase (“Billing Date”).

  • If your Billing Date falls on a non-existent calendar date (e.g., the 31st), charges will occur on the closest available date.

  • All active services automatically renew monthly unless canceled in writing prior to the next Billing Date.

  • You are fully responsible for ensuring your payment method remains valid, active, and able to accept charges.

Failure to maintain an active, billable payment method may result in service suspension as outlined below.

2.3 Nonpayment & Service Suspension

If payment cannot be processed on your Billing Date:

  1. Celeri Opera will attempt to charge your payment method multiple times over a five (5) day period.

  2. If payment remains unsuccessful, your website may be temporarily disabled, replaced with a suspension notice, or taken offline entirely.

  3. If payment is not received within fifteen (15) days of the failed Billing Date, Celeri Opera reserves the right to:

    • Terminate your service,

    • Release or repurpose your website files, and

    • Allow your domain to return to public availability once its registration expires.

Celeri Opera is not liable for data loss or domain loss due to client nonpayment.

2.4 Pricing & Fee Changes

Celeri Opera reserves the right to modify pricing, fees, or service structures at any time. Any changes to recurring subscription fees will take effect at the start of the next billing cycle and will be communicated to the email address on file.

Continued use of services after such notice constitutes acceptance of the updated pricing.

2.5 Refund Policy – General Rules

All payments made to Celeri Opera are final and nonrefundable, unless explicitly stated otherwise in this Agreement. This includes, but is not limited to:

  • Monthly subscription fees

  • Startup/setup fees

  • Domain registration fees

  • Add-on services or custom features

  • Any partial or unused subscription periods

  • Services already initiated, partially completed, or delivered

This policy is strictly enforced due to the digital nature of the services, ongoing labor investment, and third-party costs incurred by Celeri Opera at the moment you subscribe.

2.6 Nonrefundable Startup Fee

The startup fee—currently $16—covers domain registration, initial configuration, and setup.
This fee is nonrefundable under all circumstances, including but not limited to:

  • Client cancellation immediately after purchase

  • Dissatisfaction with domain availability

  • Change of business direction

  • Delay in providing information necessary to begin the build

Once the domain registration process is initiated, the fee cannot be reversed.

2.7 Refunds for Monthly Subscription Fees

Monthly subscription charges are nonrefundable once processed.
This includes scenarios where:

  • The client no longer needs the website

  • The client fails to request cancellation before the next Billing Date

  • The client does not provide necessary content for the website

  • The client stops responding or fails to communicate

  • The client is dissatisfied with subjective aspects of design

  • The client chooses not to use the website after it has been created or maintained

Subscription fees compensate for ongoing labor, hosting, platform access, and service availability—not solely website usage.

2.8 Chargebacks & Payment Disputes

You agree not to initiate chargebacks or payment disputes for any charges that fall within the scope of these Terms.

Should a chargeback occur:

  • Your account will be immediately suspended.

  • All website files, designs, and digital assets may be permanently removed.

  • Your domain may be released upon expiration or transferred into Celeri Opera’s control until the dispute is resolved.

  • You may be liable for administrative fees, banking fees, and recovery costs incurred by Celeri Opera.

Filing a chargeback for a valid charge constitutes a breach of this Agreement and may result in legal action.

2.9 Cancellation Policy

Cancellations must be submitted in writing, via email, at least 48 hours before your next Billing Date.

Cancellations do not retroactively refund already-processed payments.
Upon cancellation:

  • Your subscription will remain active through the end of the paid billing period.

  • Your website and domain will be deactivated at the end of the final paid cycle unless alternative arrangements are made.

  • If you wish to transfer your domain, transfer fees may apply, and the domain must be eligible for transfer under the registrar’s policies.

Celeri Opera does not guarantee domain eligibility for transfer if the client cancels immediately after registration.

2.10 Early Termination by Client

If you choose to terminate services before the end of your current billing period, you are not entitled to any refund or partial credit. The service will remain active only until the end of the period already paid for.

2.11 Refund Exceptions

The only circumstances under which Celeri Opera may consider a refund are:

  1. Duplicate Billing Errors — accidental double charges caused by a system malfunction.

  2. Unauthorized Transaction — if you can demonstrate that the payment was fraudulently made by a third party and not by you or an authorized user.

Refund eligibility is determined solely by Celeri Opera. All decisions are final.

2.12 Acknowledgment of Digital Product Nature

By using Celeri Opera’s services, you acknowledge that website design, digital management, hosting, and domain services are non-tangible digital goods, and as such, traditional refund practices for physical products do not apply.

Once service has been initiated, value has been delivered.

3. Scope of Services

3.1 Overview of Services Provided

Celeri Opera provides website design, development, and ongoing management services for businesses using the Squarespace platform. The services included under a standard $129.99 monthly subscription are intended to support the client’s online presence, ensure basic site functionality, and maintain the domain associated with the client’s website. All services are subject to the conditions, limitations, and client responsibilities outlined in these Terms.

3.2 Website Design & Initial Setup

The initial website build includes the following:

  • Creation of a fully functional website on the Squarespace platform.

  • Customized styling within the limits of Squarespace capabilities (colors, fonts, layouts, sections, etc.).

  • Setup of up to 5 pages (Home, About, Services/Products, Contact, plus one additional page).

  • Integration of client-provided text, images, branding materials, and business information.

  • Configuration of basic navigation, layout, mobile responsiveness, and template adaptation.

  • Integration of contact forms, basic analytics, and essential settings.

  • Launching the website under the client’s domain name.

This setup is included under the monthly subscription; however, the $16 nonrefundable startup fee is required to cover domain registration and initial configuration.

3.3 Domain Registration & Renewal

As part of the subscription, Celeri Opera:

  • Registers and maintains the client’s primary domain name (subject to availability).

  • Renews the domain annually as long as the subscription remains active and in good standing.

  • Manages DNS settings and ensures the domain remains properly connected to the website.

All domain-related costs are included within the $129.99 monthly fee unless the client requests additional domains, premium domains, transfers, or configurations outside the standard offering.

3.4 Ongoing Website Management & Maintenance

During an active subscription, Celeri Opera offers continued website upkeep, including:

  • Ensuring Squarespace hosting, SSL, and security remain active.

  • Monitoring site performance and making necessary adjustments to maintain proper functionality.

  • Applying minor design or content updates as requested by the client, limited as outlined in Section 3.5.

  • Implementing platform updates, fixes, or layout adjustments required for compatibility.

  • Ensuring the site remains accessible unless the client engages in prohibited conduct (see Section 7).

Management services are limited to reasonable maintenance tasks and do not constitute unlimited development labor or redesign work.

3.5 Minor Adjustments Included in Subscription

The monthly subscription includes minor website adjustments, defined as:

  • Text edits or page wording updates.

  • Replacing or adding a small number of photos.

  • Adjusting spacing, alignment, or layout within existing sections.

  • Adding or editing store products (up to 5 per month).

  • Updating contact details, business hours, or general information.

  • Slight visual modifications that do not constitute a redesign.

Minor adjustments do not include large-scale changes such as rebuilding pages, redesigning templates, adding complex features, or restructuring site architecture.

Celeri Opera reserves the right to determine whether a client request qualifies as a minor adjustment or an additional paid service.

3.6 Services Not Included

The following services fall outside the scope of the standard subscription unless specifically agreed upon in writing and may require additional fees:

  • Full website redesigns after initial launch.

  • Creation of more than 5 standard pages.

  • Custom-coded features beyond Squarespace’s native capabilities.

  • Graphic design services (logos, branding kits, promotional materials, etc.).

  • Copywriting beyond simple corrections or formatting.

  • Advanced SEO beyond initial setup (keyword research, backlinking, SEO strategy).

  • Managing third-party integrations beyond basic configuration.

  • Setting up advanced e-commerce features, booking systems, memberships, or non-Squarespace tools.

  • Custom animations, transitions, or developer-level modifications.

  • Email marketing configuration, funnels, or automations.

  • Ongoing management of business social media accounts.

  • Domain transfers to or from platforms not supported by current registrars.

  • Any service requiring extended labor, technical complexity, or tasks outside normal maintenance.

Any additional work outside the subscription will be quoted separately and requires written approval.

3.7 Client Responsibilities

To ensure proper service delivery, the client agrees to:

  • Provide all necessary content, including photos, text, logos, and business information, in a timely manner.

  • Review and approve website drafts or update requests promptly.

  • Supply accurate, lawful, and truthful information for publication.

  • Maintain open communication regarding changes they desire.

  • Ensure they have full rights to use any content they provide to Celeri Opera.

  • Refrain from requesting updates that violate Squarespace policies, general internet laws, or this Agreement.

Failure to provide needed materials or approvals does not entitle the client to refunds or discounts.

3.8 Service Availability

Celeri Opera strives to keep all client websites functional and online; however, service availability may be affected by:

  • Squarespace downtime or technical issues

  • Domain registrar outages

  • Third-party service failures

  • Internet disruptions, cyberattacks, or force majeure events

  • Client’s own actions or unauthorized modifications

Celeri Opera is not liable for downtime caused by external factors beyond our reasonable control.

3.9 Modifications to Scope of Services

Celeri Opera reserves the right to adjust, expand, or modify the scope of services at any time for purposes including:

  • Improving service quality

  • Adapting to platform changes

  • Incorporating new policies

  • Ensuring operational efficiency

Any major change that materially affects the client will be communicated in advance. Continued use of the service constitutes acceptance of any updated scope.

4. Termination & Cancellation

4.1 Right to Terminate by Celeri Opera

Celeri Opera reserves the right to suspend or terminate any client’s subscription, account, or website access at any time, with or without prior notice, for any of the following reasons:

  • Failure to pay subscription fees or maintain an active, valid payment method

  • Repeated chargebacks, payment disputes, or suspected fraudulent activity

  • Violation of any section of these Terms and Conditions

  • Submission of illegal, harmful, or infringing content

  • Abuse, harassment, or inappropriate conduct toward Celeri Opera staff

  • Misuse of services, excessive unreasonable requests, or attempts to circumvent service limits

  • Interference with website systems, hosting infrastructure, or platform operations

  • Activities that pose security risks, legal liabilities, or reputational damage

Upon termination by Celeri Opera, all website access, domain connections, and ongoing services may cease immediately. Celeri Opera is under no obligation to preserve website data or domain access after termination unless required by law.

4.2 Termination by the Client

The client may terminate their subscription at any time by submitting a written request via email. Cancellations must be sent at least 48 hours before the next Billing Date to avoid being charged for the upcoming billing cycle.

Failure to meet this requirement means the cancellation will take effect after the next billing cycle, and the client will not receive a refund for the already-processed payment.

Cancellations made through verbal communication, text messages, social media, or any method other than email are not valid or accepted.

4.3 No Refunds Upon Termination

All fees paid to Celeri Opera are nonrefundable, including:

  • Monthly subscription fees

  • The $16 startup/domain fee

  • Partial or unused subscription periods

  • Fees for services already initiated or delivered

Termination by either the client or Celeri Opera does not entitle the client to any refund, credit, or prorated amount under any circumstances.

4.4 Effect of Termination on Website and Domain

Upon termination:

  • The client’s website may be taken offline and made inaccessible.

  • Domain renewal, DNS management, and hosting services provided through Celeri Opera will cease.

  • If the domain was registered under Celeri Opera’s registrar, it may:

    • Expire naturally,

    • Be held by Celeri Opera until the registration period ends, or

    • Be released or repurposed at Celeri Opera’s discretion.

Domain transfers may be possible only if:

  1. The domain is eligible for transfer under the registrar’s specific rules, and

  2. The client has paid all outstanding fees in full.

Transfer fees may apply, and Celeri Opera is not responsible for domain loss resulting from early cancellation, nonpayment, or registrar restrictions.

4.5 Early Termination for Breach

If Celeri Opera terminates a client’s subscription due to a breach of these Terms, including nonpayment:

  • Website access will be suspended immediately,

  • All files, design assets, and content may be removed without backup,

  • The domain may be held or released depending on internal policy,

  • The client may be liable for damages, chargeback fees, or collection costs.

Celeri Opera may pursue legal action if the breach results in financial loss, reputational harm, or regulatory exposure.

4.6 Suspension Instead of Termination

Celeri Opera may choose to temporarily suspend a client’s services as an alternative to full termination. Suspension may occur for:

  • Declined payments

  • Account review or compliance concerns

  • Temporary resource overload due to excessive client demands

  • Suspected security risks

Suspension does not pause billing obligations. All fees remain due during suspension unless Celeri Opera states otherwise in writing.

4.7 Data Removal and Irreversibility

Upon termination or extended suspension:

  • All website data, files, content, and assets may be permanently deleted

  • Celeri Opera is not required to store or retrieve any deleted material

  • Once deleted, data cannot be recovered under any circumstances

Clients are responsible for saving copies of any critical content prior to requesting cancellation.

4.8 Client Responsibility Upon Termination

Upon termination, the client agrees to:

  • Settle all outstanding payments or fees owed to Celeri Opera

  • Discontinue the use of any Celeri Opera materials, designs, systems, or proprietary tools

  • Remove any references that imply ongoing affiliation with Celeri Opera

  • Acknowledge that Celeri Opera maintains ownership rights to any proprietary design elements, templates, or systems used in the website unless otherwise agreed to in writing

Continued use of intellectual property belonging to Celeri Opera after termination may result in legal action.

4.9 Continuation of Clauses

Certain sections of these Terms will survive termination, including but not limited to:

  • Payment terms

  • Refund policies

  • Intellectual property rights

  • Liability limitations

  • Dispute resolution and governing law

Termination of services does not void your contractual obligations or Celeri Opera’s legal protections.

4.10 Acknowledgment of Automatic Renewal

By using Celeri Opera’s services, the client agrees and acknowledges that:

  • Subscriptions renew automatically each month

  • Charges continue until a valid cancellation request is received

  • Cancellations only affect future billing cycles

  • Forgetting or failing to cancel does not qualify for a refund

Clients are responsible for monitoring their billing dates and communicating cancellation requests properly.

5. Limitation of Liability

5.1 General Limitation

To the fullest extent permitted by applicable law, Celeri Opera, including its owner, employees, contractors, affiliates, partners, and service providers, shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to:

  • Use or inability to use the website or services

  • Suspension, interruption, or termination of services

  • Loss of data, content, business, profits, revenue, customers, or opportunities

  • Domain loss due to expired registration, nonpayment, or registrar issues

  • Mistakes, errors, or omissions in website content

  • Website downtime, outages, cyberattacks, or hosting-related failures

  • Unauthorized access to or alteration of client transmissions or data

  • Actions or inactions caused by third-party platforms (including Squarespace)

Under no circumstances shall Celeri Opera’s total liability exceed the amount the client has paid in the last 30 days of service, regardless of the nature of the claim.

5.2 No Liability for Third-Party Platforms

The client acknowledges that Celeri Opera builds and manages websites using the Squarespace platform, and therefore:

  • Celeri Opera has no control over Squarespace’s servers, updates, outages, policies, or errors

  • Celeri Opera is not responsible for Squarespace downtime, system failures, or restrictions

  • Any limitation, malfunction, or change affecting website features is governed by Squarespace, not Celeri Opera

Clients agree that service interruptions caused by third-party platforms do not entitle them to refunds, credits, or legal claims against Celeri Opera.

5.3 No Guarantee of Business Results

Celeri Opera provides website design and management services only. We do not guarantee:

  • An increase in customers, sales, or revenue

  • Search engine rankings or SEO outcomes

  • Any particular marketing or financial performance

  • Website traffic, lead generation, or conversion rates

  • That the website will meet the client’s subjective expectations or preferences

The client understands that business performance depends on many factors beyond Celeri Opera’s control. Any statements regarding potential results are expressions of opinion, not guarantees.

5.4 No Liability for Client Content

The client is solely responsible for all content submitted for use on the website, including:

  • Text, images, media, and branding

  • Legal compliance of any statements or claims

  • Copyright, licensing, or intellectual property rights

  • Accuracy, truthfulness, and completeness of information

  • Uploaded content that may violate laws or platform rules

Celeri Opera is not liable for any legal issues, claims, damages, takedowns, or third-party complaints resulting from client-provided content.

5.5 No Liability for Data Loss

Although Celeri Opera takes reasonable steps to safeguard website content, the client acknowledges that:

  • Data loss can occur due to technical issues

  • Squarespace may delete or corrupt data through no fault of Celeri Opera

  • Deleted files may not be recoverable

  • The client is responsible for maintaining backups of critical materials

Celeri Opera has no obligation to recover lost data and is not liable for its loss.

5.6 No Liability for Delays

Celeri Opera is not responsible for delays in website creation, updates, or maintenance caused by:

  • Client’s failure to provide materials or approvals

  • Client’s delayed communication or non-responsiveness

  • Incorrect or incomplete client information

  • Third-party platform outages

  • Force majeure events (defined below)

Delays do not entitle the client to partial refunds, extensions, or credits.

5.7 Force Majeure

Celeri Opera shall not be liable for any failure to perform services due to circumstances beyond its reasonable control, including:

  • Natural disasters, fires, floods, storms

  • Power outages, utility failures, or equipment malfunctions

  • Internet infrastructure failures

  • War, terrorism, civil unrest, or government actions

  • Pandemics, public health orders, or labor shortages

  • Cyberattacks, hacking incidents, or malicious interference

Service interruptions caused by force majeure events do not constitute grounds for refunds or claims against Celeri Opera.

5.8 No Liability for Actions Taken to Protect the System

Celeri Opera reserves the right to take any action necessary to:

  • Protect platform security

  • Maintain system stability

  • Prevent data breaches or unauthorized access

  • Comply with legal, regulatory, or platform requirements

Such actions may include suspending website access, restricting certain features, or removing harmful content.
Celeri Opera is not liable for any consequences resulting from such protective actions.

5.9 Indemnification

The client agrees to defend, indemnify, and hold harmless Celeri Opera from any claims, damages, liabilities, losses, or expenses (including attorneys’ fees) arising out of:

  • Client misuse of services

  • Violation of these Terms

  • Copyright or trademark infringement

  • Illegal or harmful content posted on the website

  • Disputes between the client and their customers

  • Misrepresentations made by the client through their website

  • Chargebacks or fraudulent payment activities

This indemnity applies even after the termination of the client’s subscription.

5.10 Acknowledgment of Risk

By using Celeri Opera’s services, the client acknowledges that:

  • No digital service is risk-free

  • Websites may be vulnerable to downtime, cyber threats, and external failures

  • Platform limitations may restrict certain features or functionalities

  • Celeri Opera does not guarantee uninterrupted service

  • The client uses the service at their own risk

6. Intellectual Property

6.1 Ownership of Celeri Opera Materials

All content, designs, templates, graphics, code, written materials, branding elements, systems, processes, documentation, tools, and intellectual property created or used by Celeri Opera (collectively, “Celeri Opera Materials”) are and shall remain the exclusive property of Celeri Opera.

This includes, but is not limited to:

  • Proprietary design elements

  • Website structures and layouts

  • Custom sections or stylings configured within Squarespace

  • Conceptual frameworks, workflows, and development processes

  • Written guides, instructions, or operational methods

  • Internal systems, scripts, and integrations

  • Any materials not explicitly transferred in writing

Nothing in this Agreement grants the client ownership of or rights to Celeri Opera Materials unless explicitly stated otherwise.

6.2 Limited License to Use the Website

Upon full payment of subscription fees and subject to ongoing compliance with these Terms, the client is granted a limited, non-exclusive, revocable, non-transferable license to use the website created and maintained by Celeri Opera.

This license:

  • Is valid only while the subscription is active and in good standing

  • Allows the client to use the website for legitimate business purposes

  • Does not grant ownership of the underlying designs, systems, or structure

  • Automatically terminates upon cancellation or nonpayment

All rights not expressly granted are reserved by Celeri Opera.

6.3 Ownership of Client-Provided Content

The client retains ownership of all content they submit, including:

  • Logos, branding assets, and trademarks

  • Text, descriptions, and business information

  • Images, videos, and media files

  • Product photos and listings

  • Copyrighted or licensed materials provided by the client

By providing this content, the client grants Celeri Opera a worldwide, royalty-free license to use, display, modify, reproduce, and store such content for the purpose of designing, maintaining, and operating the client’s website.

The client represents and warrants that they own or have permission to use all content submitted to Celeri Opera.
Celeri Opera is not responsible for verifying ownership or licensing of client-provided content.

6.4 Rights to the Website Design

Unless explicitly transferred in a separate written agreement:

  • The overall website design, page structure, layout, and configuration remain the property of Celeri Opera

  • The client receives the right to use the website, but not to claim ownership of its design

  • Custom layouts or visual elements created by Celeri Opera are considered proprietary intellectual property

If the client cancels their subscription or fails to pay:

  • The client loses the right to use the website in its existing form

  • Celeri Opera may disable, remove, or delete proprietary elements

  • The client may not copy, replicate, download, or reuse the design elsewhere

Unauthorized replication may result in legal action for infringement.

6.5 Domain Ownership

Domains purchased through Celeri Opera remain:

  • Registered under Celeri Opera’s management

  • Licensed to the client while the subscription is active

  • Eligible for transfer only if all fees are paid and the domain meets registrar requirements

Celeri Opera retains the right to hold, release, or repurpose domains if the subscription is terminated or unpaid.

6.6 Restrictions on Copying or Reproduction

The client may not, under any circumstances:

  • Copy, duplicate, or recreate the website on another platform

  • Reverse engineer or attempt to extract Celeri Opera’s design methods

  • Resell or distribute Celeri Opera’s templates or design components

  • Claim credit for Celeri Opera’s design work

  • Remove proprietary notices, footers, credits, or tracking without permission

  • Train AI systems, tools, or models using Celeri Opera’s protected materials

Any unauthorized copying, sharing, or commercial use constitutes a violation of intellectual property laws.

6.7 Intellectual Property Created by Request

Any additional design elements, graphics, or written content created specifically upon client request are still considered part of Celeri Opera Materials unless:

  • A separate written agreement explicitly transfers ownership

  • The client purchases ownership rights for that asset

  • Celeri Opera confirms transfer in writing

Payment for services does not automatically transfer ownership rights.

6.8 IP Violations by the Client

If the client’s website contains infringing content:

  • Celeri Opera may remove the content immediately

  • The website may be suspended while under legal review

  • The client assumes all liability for damages, fines, legal fees, and claims

  • Celeri Opera may terminate service without refund

The client agrees to defend and indemnify Celeri Opera against any claims related to copyright, trademark, or licensing violations.

6.9 Right to Use Website in Portfolio

Celeri Opera retains the right to:

  • Display the client’s website in its portfolio

  • Showcase screenshots, previews, or design elements for marketing

  • Indicate publicly that the website was created by Celeri Opera

If the client wishes to opt out of portfolio display, this must be requested in writing, and Celeri Opera reserves the right to accept or deny the request depending on the circumstances.

6.10 Survival of Intellectual Property Rights

All intellectual property rights and protections detailed in this section remain in full effect even after termination of services, including:

  • Prohibition on copying or reproducing proprietary assets

  • Ownership of Celeri Opera Materials

  • Restrictions on use of designs and layouts

  • Portfolio rights, unless revoked in writing

Termination of the subscription does not cancel Celeri Opera’s IP rights.

Governing Law
